Tucker Capital Advises National Geographic in the launch of a global partnership between the NGS School Publishing unit and Cengage Learning

Extends relationship for the development, marketing and distribution of NGS-branded materials across the higher education and library markets worldwide

Princeton, NJ, August 3, 2011 - The Tucker Capital Corporation, a leading independent investment bank serving the education, information, and technology markets, acted as lead advisor to National Geographic Society (NGS), along with investment bank Berkery Noyes, in the creation of a global partnership between the NGS School Publishing unit with Cengage Learning. Cengage Learning, a leading global provider of innovative teaching, learning and research solutions, acquired key NGS digital and print school publishing assets and today unveiled the new brand, National Geographic Learning, for its English Language Learning business. The acquisition of National Geographic Science series, National Geographic Explorer! magazines and Hampton Brown’s literacy and language programs is one part of an ambitious license to reach classrooms around the world. Cengage Learning now has expanded rights to distribute NGS’s content, including images, maps, videos and articles in the academic and library markets worldwide.

The new global brand, National Geographic Learning, will provide a consistent and unified identity for the former Cengage Learning ELT and National Geographic School Publishing imprints and sub-brands. Over time, the new brand will replace several existing brands in the English Language Learning market.

Cengage Learning and NGS have collaborated since 2007 to produce English language learning materials for kindergarten through adult education in the global marketplace. Tucker Capital also helped conceive, negotiate and close that transaction. Cengage Learning will continue to be NGS’s exclusive international English language teaching partner.  Financial terms of the transaction were not disclosed.
